TERMS OF USE AND ONLINE SALE

1. BUSINESS IDENTITY

This website, accessible in particular at moodgie.ca, is operated by LES CHANDELLES MOODGIE INC., doing business as Moodgie.

In these Terms, “Moodgie,” “we,” “us,” and “our” refer to that business.

2. PURPOSE AND ACCEPTANCE OF THESE TERMS

These Terms of Use and Online Sale govern:

access to and use of the Moodgie website;
the creation and use of customer accounts;
purchases made through our online store;
use of the content, features, and services offered through the Site.

By accessing the Site, creating an account, or placing an order, you agree to these Terms and to the policies clearly presented to you before purchase, including our Privacy Policy, Shipping Policy, and Return and Refund Policy.

Certain offers, pre-orders, special boxes, promotions, or features may be subject to additional terms presented before purchase. If those specific terms conflict with these Terms, the specific terms applicable to the offer will prevail, subject to applicable law.

The retail Site is primarily intended for personal purchases. Orders intended for resale or commercial purposes may be directed to our wholesale service and be subject to separate terms.

3. ELIGIBILITY TO USE THE SITE

You must have reached the age of majority in your province, territory, state, or country of residence to make a purchase through the Site.

Where a minor uses the Site with the permission of a parent or guardian, that parent or guardian is responsible for supervising the minor’s use.

You may not use the Site or our products for any unlawful, fraudulent, or unauthorized purpose.

4. PRODUCT INFORMATION

We make reasonable efforts to present our products, features, dimensions, formats, fragrances, materials, and instructions as accurately as possible.

Because of:

the handcrafted nature of certain products;
differences between screens;
normal variations in raw materials;
the personal perception of fragrances;
the conditions within each space;

minor differences in colour, texture, appearance, or fragrance intensity may occur.

Such normal variations do not necessarily constitute a defect, provided the product remains consistent with its description and suitable for its normal intended use.

Fragrance notes describe the general profile of a scent. Fragrance perception may vary depending on the individual, temperature, airflow, room size, and other scents present in the environment.

Images are provided as visual representations and do not replace the written product description.

Our products are intended to fragrance the surrounding environment. They are not intended to diagnose, treat, cure, or prevent any disease. Nothing on the Site constitutes medical advice.

5. AVAILABILITY AND LIMITED-QUANTITY PRODUCTS

Certain products, formats, fragrances, gift sets, and seasonal editions are available in limited quantities or while supplies last.

Displayed availability may change quickly. We will not substitute a product you ordered with another product without your consent.

If an availability issue arises after a contract of sale has been entered into, we will contact you and comply with the obligations and remedies required by applicable law.

6. PRICES, TAXES, AND FEES

Unless otherwise stated, prices displayed on the Site are in Canadian dollars.

Applicable taxes, shipping charges, and other known fees are shown before the order is finally confirmed.

Where international shipping is offered, customs duties, import taxes, brokerage fees, or other charges may be imposed by public authorities, carriers, or other third parties. Where such amounts cannot reasonably be calculated in advance, the possible existence of those charges will be disclosed before purchase.

The customer is responsible for third-party charges to the extent permitted by law and provided those charges were adequately disclosed before purchase.

We may change prices applicable to future purchases. A price change does not alter the price of a contract of sale that has already been validly entered into.

7. PROMOTIONS AND DISCOUNT CODES

Promotions and discount codes are subject to the terms announced with the offer, including their duration, eligible products, exclusions, and available quantities.

Unless otherwise stated:

only one promotional code may be used per order;
promotions cannot be combined;
certain products, gift sets, gift cards, new arrivals, or limited editions may be excluded;
a promotion cannot be applied retroactively to a previous order;
complimentary products are offered while supplies last.

Any applicable restriction will be clearly disclosed before purchase.

8. ORDER PROCESS

Before finalizing an order, you can review the selected products, quantities, shipping address, applicable charges, and total price and can correct or reject the proposed transaction.

You are responsible for verifying the accuracy of the information you provide, including:

your name;
email address;
billing address;
shipping address;
telephone number;
ordered products and quantities.

After purchase, we will send you an electronic confirmation containing information about the transaction. This confirmation can generally be saved and printed. We recommend retaining a copy.

The formation and performance of the contract of sale remain subject to applicable law. Nothing in these Terms gives Moodgie the right to cancel a validly concluded contract where cancellation is not permitted by law.

Before a contract is concluded, we may suspend or refuse to process a transaction where:

payment cannot be authorized;
required information is incomplete;
we have reasonable grounds to suspect fraud;
the order appears to have been placed for resale through our retail Site;
the transaction would violate a law or applicable restriction.

After the contract is concluded, Moodgie will cancel an order only to the extent permitted by law.

9. PAYMENT

Accepted payment methods are displayed during checkout.

You confirm that you are authorized to use your selected payment method and agree that the information provided may be transmitted to our payment service providers for transaction processing, fraud prevention, and compliance with their legal obligations.

Moodgie does not directly retain full payment-card information where it is processed by Shopify or another payment provider.

A pre-authorization or verification may be performed before the order is confirmed or shipped.

10. SHIPPING AND DELIVERY

We ship only to destinations offered during checkout.

Displayed processing and delivery times are estimates unless a specific date has been expressly agreed upon. They may vary based on demand, season, product availability, shipping address, and carrier operations.

Where applicable, the order or shipping confirmation identifies the delivery method, delivery location, and available carrier information.

You must provide a complete and accurate address. If an error in the address you supplied results in a return, reshipment, or additional charges, we may ask you to pay the reasonable resulting costs, to the extent permitted by law.

Risk relating to the product transfers in accordance with applicable law. Nothing in these Terms is intended to release Moodgie from its legal responsibilities before delivery.

If a parcel is delayed, lost, damaged, delivered to the wrong address, or marked as delivered without having been received, please contact us promptly. We may request your cooperation and open an investigation with the carrier.

The time required for a carrier investigation may delay the resolution of the matter, but it does not limit the rights and remedies granted to you by law.

11. RETURNS, EXCHANGES, AND REFUNDS

Returns, exchanges, and refunds requested because of a change of mind are governed by our Return and Refund Policy, which is presented before purchase and available on the Site.

That policy may specify:

eligible and ineligible products;
applicable time limits;
the condition in which a product must be returned;
responsibility for return-shipping costs;
the form of refund or store credit provided.

The Return and Refund Policy does not limit your rights where a product is defective, damaged, inconsistent with its description, or covered by a legal warranty.

If you receive an incorrect, damaged, or potentially defective product, contact us as soon as reasonably possible and provide your order number and, where relevant, photographs of the product and packaging.

Authorized refunds are generally issued through the original payment method unless otherwise agreed or another form of reimbursement is permitted by law.

12. LEGAL WARRANTIES

Products sold by Moodgie are covered by all applicable legal warranties.

These warranties may require that a product:

conform to its description, advertising, and representations;
be fit for the purpose for which it is normally intended;
remain fit for normal use for a reasonable period, considering in particular its price and conditions of use;
be free from hidden defects.

Nothing in these Terms or our other policies limits or excludes any warranty or right that cannot legally be excluded.

Misuse of a product, failure to follow safety instructions, alteration of the product, or use contrary to its intended purpose may, however, be considered when assessing a claim.

13. SAFE USE OF PRODUCTS

You must read and follow all warnings, instructions, and precautions appearing on a product, its packaging, or its product page.

Without limiting those instructions:

never leave a burning candle or incense stick unattended;
keep flames and embers away from children, pets, drafts, and flammable materials;
place candles, incense holders, and diffusers on stable and suitable surfaces;
avoid contact between fragrance oils or home-fragrance sprays and the eyes, mouth, or skin;
never ingest a fragrance product;
protect furniture, textiles, and surfaces from spills;
use products in an adequately ventilated space;
discontinue use where a container is damaged or continued use appears unsafe.

Moodgie is not responsible for damage caused exclusively by use contrary to clearly provided instructions, subject to any rights and responsibilities that cannot be excluded by law.

14. CUSTOMER ACCOUNTS

Certain features may require a customer account.

You are responsible for:

providing accurate and current information;
protecting your password;
restricting access to your device;
promptly notifying us of unauthorized account use.

We may suspend access to an account where we have reasonable grounds to believe that it is being used fraudulently, unlawfully, or contrary to these Terms.

15. GIFT CARDS, PRE-ORDERS, AND SPECIAL OFFERS

Gift cards, pre-orders, monthly boxes, and other special offers may be subject to additional terms presented before purchase.

Gift cards cannot be redeemed for cash unless required by law. Their use, expiry, and any fees remain subject to applicable law and to the terms presented at the time of purchase.

For a pre-order, the announced shipping date is an estimate unless expressly guaranteed. We will notify you of a significant change and honour any cancellation or refund rights provided by law.

No substitute product will be shipped without your consent.

16. INTELLECTUAL PROPERTY

The Site and its content, including names, trademarks, logos, photographs, videos, illustrations, text, descriptions, graphic creations, packaging, layouts, and visual elements, belong to Moodgie or are used with permission from their respective owners.

You may access the Site and download or print extracts solely for your personal, non-commercial use.

Without our prior written permission, you may not:

substantially reproduce or republish Site content;
use our photographs or descriptions for commercial purposes;
alter or remove a trademark, copyright notice, or logo;
use the Moodgie name in a way likely to cause confusion;
resell or otherwise commercially exploit Site content.

17. COMMENTS, REVIEWS, AND USER CONTENT

You may submit comments, reviews, photographs, or other content where that feature is available.

You retain ownership of the content you create. By submitting it to Moodgie, you grant us a non-exclusive, worldwide, royalty-free licence, transferable to our service providers, to use, reproduce, adapt, and display it for purposes related to our operations, marketing, and operation of the Site.

You confirm that you have the necessary rights to submit the content.

Content must not:

be unlawful, fraudulent, defamatory, or threatening;
infringe another person’s rights;
include another person’s personal information without authorization;
contain a virus, malicious code, or misleading content.

We may remove content that violates these requirements.

Nothing in these Terms prevents you from publishing an honest review of Moodgie or its products.

18. PROHIBITED USES

You may not:

use the Site for unlawful or fraudulent purposes;
attempt to gain unauthorized access to the Site or its systems;
circumvent security measures;
introduce a virus, malware, or destructive code;
collect personal information about other users;
use automated tools in a manner that disrupts Site operations;
submit false information;
impersonate another person;
infringe our rights or the rights of a third party.

We may restrict or suspend access to the Site in response to an actual or reasonably suspected violation, subject to applicable law.

19. THIRD-PARTY SERVICES AND LINKS

The Site is hosted by Shopify and may use third-party services for payments, shipping, analytics, marketing, customer reviews, and other features.

Those third parties may be subject to their own terms of use and privacy policies.

Links may lead to websites not operated by Moodgie. We do not control their content, availability, or practices.

Use of third-party services does not release Moodgie from its own legal obligations to its customers.

20. PRIVACY AND PERSONAL INFORMATION

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.

That policy explains in particular:

the categories of information collected;
the purposes for which it is used;
the service providers and categories of third parties involved;
the use of cookies and similar technologies;
any communication of information outside Québec;
your rights of access, correction, and withdrawal of consent;
how to contact the person responsible for the protection of personal information.

By using the Site or making a purchase, you acknowledge that you had an opportunity to review that policy.

21. SITE AVAILABILITY

We make reasonable efforts to keep the Site accessible and secure.

The Site may occasionally be interrupted because of:

maintenance;
an update;
a technical incident;
a network outage;
an issue involving Shopify or a third-party provider;
an event beyond our control.

We do not guarantee uninterrupted access to the Site or that the Site will be completely free from errors.

This provision does not limit any right relating to an order or product granted to you by law.

22. ERRORS AND CORRECTIONS

The Site may occasionally contain a typographical error, incomplete information, or information that has not yet been updated.

We may correct an error and update information applicable to future transactions.

Where an error affects a pending order or an existing contract, we will contact the customer and address the matter in accordance with applicable law.

Nothing in these Terms allows us to impose a higher price after purchase than the price validly agreed upon or to unilaterally cancel a sale where cancellation is not permitted by law.

23. LIMITATION OF LIABILITY

Subject to legal warranties and other rights that cannot be excluded or limited, Moodgie is not responsible for indirect or unforeseeable damage resulting exclusively from:

a temporary interruption of the Site;
a service provided by a third party over which Moodgie has no reasonable control;
use of the Site or a product contrary to clearly communicated instructions;
an event beyond Moodgie’s reasonable control.

Nothing in these Terms excludes or limits:

our liability for bodily or moral injury where the law prohibits such an exclusion;
our liability for intentional or gross fault;
legal warranties applicable to products;
remedies provided under consumer-protection legislation;
any other obligation that cannot legally be excluded.

24. EVENTS BEYOND OUR CONTROL

We are not responsible for a delay directly caused by an event beyond our reasonable control, including a natural disaster, fire, major outage, transportation interruption, strike, government measure, or widespread network failure.

We will take reasonable measures to reduce the impact of the event and will notify you where it materially affects an order.

This provision does not limit cancellation or refund rights provided by law.

25. CHANGES TO THESE TERMS

We may amend these Terms to reflect:

a change in our practices;
a new feature;
a change to our products or services;
a legislative or regulatory development;
a security requirement.

The updated version will be posted on this page with its effective date.

Changes apply to future use and transactions. They do not retroactively alter an existing contract unless required by law or validly agreed to by the parties.

26. SEVERABILITY

If a provision is declared invalid, unlawful, or unenforceable, it will be interpreted or limited only to the extent necessary to comply with the law.

The remaining provisions will remain effective unless the agreement cannot reasonably continue without the affected provision.

27. NO WAIVER

Moodgie’s failure to immediately exercise a right does not constitute a waiver of that right.

Any waiver must be clear and applies only to the specific situation to which it relates.

28. ENTIRE AGREEMENT

These Terms, the order confirmation, and any policies or specific terms expressly brought to your attention before purchase constitute the agreement applicable to your use of the Site and your order.

In the event of an inconsistency, specific information and commitments stated in the order confirmation or expressly agreed with you will prevail for that order, subject to applicable law.

29. GOVERNING LAW AND COMPETENT COURTS

These Terms are governed by the laws applicable in the Province of Québec and the federal laws of Canada applicable in Québec.

Any dispute will be submitted to a court having jurisdiction under applicable law.

Nothing in these Terms limits a consumer’s right to bring a claim before a competent court in the consumer’s place of residence where that right is provided by law.

Mandatory rights that may apply in a consumer’s province, territory, state, or country of residence also remain applicable.

30. LANGUAGE

The French version of these Terms is made available to users.

A person may choose to be bound by an English version only after the French version has been provided or made accessible and that person has clearly expressed the wish to be bound by the English version, where that requirement applies.

In the event of a discrepancy between language versions, all rights arising under applicable language and contract-interpretation laws remain fully applicable.

This English version is intended for users who, after receiving or having access to the French version, expressly choose to be bound by the English version.
